Apart from the drafting of legal documentation and offering legal advice in the above areas, lawyers in the Firm have appeared and continue to prosecute and defend cases in many Divisions of the Federal and States High Courts on matters relating to Corporate and Commercial Law, Admiralty and Maritime Law, Industrial and Intellectual Property Law, Energy and Natural Resources Law, and have also successfully registered Judgments obtained in Foreign Jurisdictions in the said Courts.

We have also appeared and still have several cases pending in the Federal and States High Courts including but not limited to Lagos State, Oyo State, Ogun State, Ondo State, Edo State, Rivers State, Plateau State and Abuja – The Federal Capital Territory as well as in several Divisions of the Court of Appeal and the Supreme Court on matters relating to Corporate and Commercial Law (Banking, Insurance, Commercial Transactions generally – Sale of Goods, Hire Purchase, Breach of Contracts, Recovery of Debts etc.), Land Law, Employment Law, Defamation Law, Domestic or Family Law Matters – Probate/Administration of Estates, Divorce, Maintenance of Spouse, Custody of Children etc., Landlord and Tenant Matters etc.

We have successfully had upheld or had reversed in favour of our Clients, some of the judgments obtained in some of the matters dealt with at the Federal High Court in Lagos or the High Courts of the States mentioned above by the Courts of Appeal in Lagos, Ibadan and Benin to which appeals from the said Federal or State High Courts lie.  We still have several appeals pending in the Court of Appeal, Lagos which were filed by us or our Client’s adversaries and we have actually been instructed to file appeals against some decisions without having handled the matters at the trial High Courts.  We have also appeared in the Supreme Court of Nigeria and also have some pending cases there. Judgment was recently delivered in favour of one of our Clients in an appeal argued by us which had to do with the Registration of a four year old judgment of the High Court of Justice in England. We successfully opposed the registration on the grounds the decision of the Court of Appeal to register the judgment was wrong because the Federal Attorney-General had not yet made an Order extending the time of registration of judgment obtained in UK Courts to six years and as such the registration of the judgment of the English Court was statute barred since such judgments could only be registered within 12 months of its delivery as provided for by the existing and extant statute.

In the area of Admiralty and Maritime Law, which is one of our specialized areas, we have been involved with cases of international dimension. We are Solicitors to one of the largest importers of commodities and base oil into Nigeria and on account of this we have had to handle cases involving arrest of vessels, damages to cargo, general average and salvage, marine insurance etc. for this and other Clients up to the Supreme Court level. We have also represented our Clients in Arbitrations abroad touching on and concerning these matters.

The Chambers has over the years incorporated, restructured and generally rendered Corporate Legal Services to both Private and Public Companies and has been involved in Public Offers and Rights Issues. The Chambers is also registered as Consultants with the Securities and Exchange Commission for the purpose of Investment Business.  

We were Solicitors to the following Schemes and Issues:

  • Lead Merchant Bank Limited’s Unit Trust Scheme in 1991;
  • LASACO Assurance Plc.’s N45,000,000:00 Floating Rate Redeemable and  Convertible Debenture Stock 1997/1999 which shortly before completion was converted to a Rights Issue of 30,000,000 Ordinary Shares of 50k each at 200k per share in 1992;
  •  General Telecom Plc.’s Public Offer of 330,000,000 Shares of 50k each at N1:50k per share in October 1998.
  • Skye Shelter Fund (A Real Estate Investment Trust Scheme) offering 20,000,000 units at N100 each to the Public in 2007.

The Chambers has also conducted Legal Due Diligence Review for Ernst & Young International – a reputable firm of Chartered Accountants on behalf of CASTROL South Africa (Pty) Ltd. in respect of its proposed investment in:

  • Eterna Oil and Gas Co. Ltd.;
  • Eterna Industries Ltd.; and
  • Extramarine and Services Ltd.

In the area of Industrial and Intellectual Property, we have registered several industrial designs for a Client whose main line of business is the manufacture of Pharmaceutical packaging. We have successfully prosecuted and defended cases on the infringement of the said registered designs leading to the award of substantial damages in favour of our Client by the Federal High Court and the Court of Appeal both in Lagos, Nigeria. We have also applied for and registered Trade Marks for other Clients.

In the area of Banking Law, we have recovered debts from difficult customers for Banker Clients in cases where the debts were already considered unrecoverable and were about to be written off and successfully defended some customers in some other cases.  We have equally drafted various Banking documentation in respect of Banking facilities granted to customers and perfected other documents where instructed to do so. 

We also carry out Company Secretarial Services for Clients and currently we act as Company Secretary to many Clients. The services we render as Company Secretaries include but are not limited to:

  • Summoning and attending Meetings of Companies
  • Keeping the Minutes of the Meetings and the Registers of the Companies
  • Ensuring compliance with the provisions of the Companies and Allied Matters Act, 1990 as far as the Companies records are concerned
  • Ensuring the compliance with the provisions of other Statutory requirements
  • Representing the various Companies as External Solicitors in Litigations and other matters etc.
